Terms and Conditions

1. About these terms
These terms form a binding agreement between you (the "Customer") and Boafo Digital Ltd, a company registered in England and Wales ("Boafo", "we", "us"), covering your use of the Boafo Agent platform, AI Employee deployments, websites at ai.boafo.digital and any subdomain, the admin console, embedded chat widgets, demo requests, lead forms, the ROI calculator, and any paid subscriptions or one-time onboarding services.
By using the service or accepting a quote, order form or Stripe checkout, you agree to these terms. If you are entering into them on behalf of an organisation, you confirm that you have authority to bind it.
2. The service
Boafo Agent provides AI Employees that engage website visitors, qualify leads, answer customer questions, book appointments and route enquiries to your team. The service includes the admin console, the embeddable widget, integrations (such as Google Calendar, Google Sheets and webhooks to common CRMs) and the underlying AI infrastructure.
3. Demos, trials and enquiries
Submitting a demo request, contact form, pricing interest or early-access form does not create a paid contract. We may use the information you provide to prepare a demo on your real website and to follow up commercially. You can ask us to delete that information at any time.
4. Fees, onboarding and subscriptions
- Subscription fees are charged monthly in advance per the plan selected on the order form or Stripe checkout. Current published plans start at £99 per month on Starter, £299 on Growth and £599 on Pro, with custom pricing for Enterprise. Plans may be updated from time to time on the Pricing page.
- One-time onboarding fees apply per plan and cover training the AI Employee on your website, branded widget styling, lead routing and Google Calendar and Sheets wiring. Published amounts are £499 on Starter, £999 on Growth and £1,999 on Pro. Enterprise onboarding is custom-scoped. Self-onboarding waives the onboarding fee on Starter and Growth.
- Currency and VAT. Fees are stated exclusive of VAT and other applicable taxes, which will be added where required.
- Payment. Today, fees are invoiced directly. When self-serve checkout is enabled, payments will be processed by Stripe under its own terms. By submitting payment details you authorise Boafo and Stripe to charge the amounts due.
- Late payment. Overdue invoices may attract statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998.
- Refunds. Subscription fees are non-refundable for partial months. Onboarding fees become non-refundable once onboarding work has started. We will always try to resolve issues fairly: please contact us first.
5. Term, renewal and cancellation
Subscriptions renew automatically each month unless cancelled. You can cancel at any time effective at the end of the current billing period by emailing hello@boafo.digital or, where available, through the admin console. We may suspend or terminate the service for material breach, non-payment or activity that violates section 7.
6. Customer data and AI Employee operation
You retain ownership of your content, branding and the conversation data generated by your AI Employee. You grant Boafo a non-exclusive licence to host, process and display that data solely to provide the service. We act as a data processor for visitor-submitted personal data, as described in our Privacy Policy. We do not use your customer conversation data to train shared AI models.
The AI Employee is an automated system. It can make mistakes. You are responsible for reviewing automated outputs before relying on them for material decisions, and for keeping the source content the AI is trained on accurate and up to date. Boafo Agent must not be used to give regulated legal, medical or financial advice unless you have configured appropriate safeguards.
7. Acceptable use
- No unlawful, harmful, deceptive, infringing or discriminatory use.
- No attempt to reverse engineer, scrape, overload or interfere with the platform.
- No use to send spam, harass individuals or process special-category personal data without an appropriate lawful basis.
- You will keep account credentials secure and notify us promptly of suspected unauthorised access.
8. Service availability
We aim to keep the service available 24/7, but do not guarantee uninterrupted operation. Planned maintenance will be communicated where reasonably possible. Enterprise customers may receive a separate SLA in their order form.
9. Intellectual property
Boafo retains all rights, title and interest in the platform, the admin console, the widget, our trademarks and any improvements derived from operating the service. Nothing in these terms transfers ownership of our IP to you. You retain rights in your content.
10. Confidentiality
Each party will treat the other's non-public information as confidential and use it only to perform under these terms.
11. Warranties and disclaimers
We provide the service with reasonable skill and care. Except as expressly stated, the service is provided on an "as is" basis and we disclaim all other warranties to the maximum extent permitted by law, including warranties of fitness for a particular purpose or that AI-generated content will be accurate, complete or suitable for any specific use.
12. Liability
Nothing in these terms limits liability that cannot be limited by law, including for death or personal injury caused by negligence, fraud or fraudulent misrepresentation. Subject to that, neither party will be liable for indirect, consequential, special or punitive losses, loss of profits, revenue, goodwill, or anticipated savings. Each party's total aggregate liability arising under or in connection with these terms in any 12-month period is limited to the fees paid by the Customer to Boafo in that period.
13. Indemnity
You will indemnify Boafo against third-party claims arising from your content, your use of the service in breach of these terms, or your breach of applicable law.
14. Changes
We may update these terms from time to time. Material changes will be notified by email or in the admin console at least 30 days before they take effect. Continued use of the service after the effective date constitutes acceptance.
15. Governing law and jurisdiction
These terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute, except that either party may seek injunctive relief in any competent court to protect its IP or confidential information.
